About Robarge Marketing

Robarge Marketing is a full-service marketing agency based in Sandy, Utah. We are committed to providing high-quality marketing, design, and print solutions tailored to the unique business objectives of our clients. These Terms of Service govern the relationship between Robarge Marketing and our clients across all engagements.

Services

We offer a comprehensive suite of marketing services, including but not limited to digital marketing campaigns, brand development, print production, and strategic consulting. The specific scope, deliverables, timelines, and responsibilities for each client engagement will be explicitly outlined in individual statements of work, formal quotes, or approved project proposals.

Financial Framework

Quotes & Pricing

All quotes and proposals provided by Robarge Marketing are valid for 30 days from the date of issuance unless explicitly stated otherwise. Pricing is determined based on the specific scope of work outlined in the approved proposal. Any subsequent requests for additional features, revisions extending beyond the agreed scope, or expedited timelines will necessitate a revised quote and may incur additional charges prior to implementation.

Payment Terms & Milestones

A standard 50% non-refundable deposit is required prior to the commencement of any design, development, or production work.
The remaining 50% balance must be paid in full upon project completion, strictly before final file delivery or live launch.
For recurring digital marketing and retainer services, invoices are issued at the beginning of each billing cycle and are due net 15 days.
Accounts with balances past due by 30 days or more may be subject to a temporary suspension of services until the account is brought current.
Late payments will incur a monthly finance charge of 1.5% applied to the outstanding balance.

Production & Logistics

Artwork & Design Files

Clients must provide all required artwork and design assets in high-resolution, print-ready formats as specified by Robarge Marketing. We are not responsible for delays or quality issues resulting from improperly formatted, low-resolution, or delayed file submissions. Any necessary file formatting or corrections performed by our team may incur additional fees.

Approvals & Proofs

Digital proofs will be provided for client review before final production or campaign launch. Written approval is mandatory to proceed. Once a proof is approved, any subsequent changes, errors, or omissions discovered are the sole responsibility of the client, and reprint or modification costs will be billed accordingly.

Turnaround & Delivery

Estimated turnaround times are outlined in the project scope and commence only upon receipt of final proof approval and any required deposits. While we strive to meet all deadlines, delivery dates are estimates. Robarge Marketing is not liable for delays caused by third-party shipping carriers, supply chain disruptions, or force majeure events.

Returns & Refunds

Due to the custom nature of our marketing materials and bespoke digital campaigns, all sales are final. Refunds or reprints will only be issued in the event of a documented manufacturing defect or clear deviation from the approved proof caused by Robarge Marketing. Any claims must be submitted in writing within 7 days of delivery.

Digital & Legal Clauses

Digital Marketing Services

For ongoing digital marketing services, including SEO, paid advertising, and social media management, Robarge Marketing acts as an authorized agent on your behalf. You retain ownership of your ad accounts; however, advertising spend is billed directly to your payment method by the respective platforms (e.g., Google, Meta). We do not guarantee specific lead volumes, as market conditions and algorithm changes are outside our direct control.

Intellectual Property

Upon full and final payment, you are granted complete ownership of the final deliverables created specifically for your project. Robarge Marketing retains ownership of all preliminary drafts, unused concepts, and proprietary tools, methodologies, or structural templates used in the creation of your deliverables. We reserve the right to display completed, non-confidential work in our agency portfolio and marketing materials.

Limitation of Liability

Robarge Marketing shall not be held liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services. Our total liability to you for any claims arising from our work, whether in contract, tort, or otherwise, is strictly limited to the total amount paid by you for the specific project or service in question during the immediately preceding three-month period.

Governing Law (Utah)

These Terms of Service, and any disputes arising from or relating to them, shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any legal actions or proceedings shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah. By engaging our services, you consent to the exclusive jurisdiction and venue of these courts.

Changes to These Terms

Robarge Marketing reserves the right to modify or replace these Terms of Service at any time. We will provide notice of any material changes by posting the updated terms on this webpage and adjusting the "Last updated" date. Your continued use of our services following the posting of any changes constitutes acceptance of those changes. We encourage you to review these terms periodically for updates.
